By completing the registration process on the Platform, you (“Partner” or “you”) agree to be bound by these Lifestyle Partner Platform Terms of Service (“Terms”) with Points Africa (Pty) Limited South Africa trading as Points Africa (“Points Africa,” “we,” or “us”).
- PLATFORM SERVICES
1.1 Service Description Points Africa provides a cloud-based loyalty and rewards platform (“Platform”) that enables you to:
- Access to our 5M+ loyalty partner network customer base for your marketing campaigns to drive revenue
- Manage customer engagement and loyalty campaigns
- Integrate loyalty rewards into your customer transactions using the Platform which will include our fintech or banking partners – including but not limited to Tingg or MoMo
- Track and manage all loyalty transactions in real-time
1.2 Service Availability We strive for 99.5% uptime and customer support, subject to scheduled maintenance.
1.3 Service Modifications We may modify, update, or discontinue any aspect of our Platform services at any time without prior notice. We will use reasonable efforts to notify you of material changes that may affect your use of the Platform.
- PARTNER OBLIGATIONS
2.1 Permitted Use
- Use the Platform solely for your internal business purposes
- Create and manage loyalty offers through your partner dashboard and provide loyalty offers/services only to your end customers
- Comply with all applicable laws and regulations
- Maintain accurate account information
- Program Launch Materials: Following registration, Points Africa will provide you with Program Launch Materials, including marketing collateral and sample launch offers, to ensure a successful program launch. You agree to cooperate with Points Africa in utilizing these materials to promote your participation in the Points Africa network.
2.2 Network Participation As a lifestyle partner on the Platform, you agree to offer Points Africa network participants a discount on your goods and services. During registration, you will select an initial discount percentage of no less than 10%. This discount will remain in effect for the term of this agreement unless you notify your account manager or email lifestyle@pointsafrica.com to request a change. Any discount changes will only take effect 48-72 hours after being processed on the Platform. The selected discount will be applied across all your locations and channels accessible to Points Africa network members.
2.3 Marketing and Cross-Promotion. Points Africa may, in its sole discretion, select partners for cross-marketing initiatives, including social media campaigns targeted at both the partner’s customers and Points Africa users. Such marketing activities will likely occur at program launch but may also take place during the term of this agreement.
You grant Points Africa a non-exclusive, royalty-free, worldwide license during the term of this agreement to use, reproduce, and display your name, logos, trademarks, and other brand assets for purposes of promoting the Platform, marketing the Points Africa network, and identifying you as a partner. This includes use on Points Africa’s website, mobile applications, partner directories, social media channels, press releases, and other marketing materials.
You agree to cooperate with Points Africa on co-branded marketing collateral and collaborative social media posts, with both parties acting in good faith to align messaging and brand usage with mutually agreed marketing objectives.
2.4 Prohibited Activities You may not:
- Resell or redistribute Platform services to third parties
- Reverse engineer or copy Platform features
- Use the Platform for illegal, harmful, or fraudulent activities
- Share login credentials or Platform pricing information
- PAYMENT TERMS
3.1 Commercial Terms
- Point pricing, redemption rates, and fee structures are established during account setup
- All commercial terms are presented and confirmed prior to platform activation
- Pricing may vary based on volume commitments and partnership level
3.2 Network Discount Settlement
- Points Africa will pay you your net transaction amount minus the network discount provided to Points Africa members during sign-up and registration.
- Payments are processed on a minimum T+1 Business Day, or as otherwise defined during account setup.
- Payment covers all qualifying network transactions from the previous business day
- Payments are made via electronic transfer to your designated bank account
3.3 Billing and Payment
- Daily settlement for point transactions and platform fees on a minimum T+1 Business Day, or as otherwise agreed during account setup
- Payment terms as specified in your account setup
- Setup fees may apply based on partnership level
- Late payment fees may apply to overdue amounts
- DATA PROTECTION
4.1 Data Ownership
- You retain ownership of your customer data
- We process data solely to provide Platform services
- Both parties will comply with applicable privacy laws (GDPR, PIPEDA, Ghana Data Protection Act etc.)
4.2 Security We implement industry-standard security measures to protect your data, including encryption and access controls.
- INTELLECTUAL PROPERTY
5.1 Platform Rights All Platform technology, content, and intellectual property remain our exclusive property.
5.2 Your Content You retain ownership of your customer data, excluding any enhancements or feedback provided to us.
- LIABILITY AND WARRANTIES
6.1 Service Warranty Services are provided “as is.” We disclaim all warranties except those required by law.
6.2 Limitation of Liability Our total liability is limited to the lesser of $20,000 USD or fees paid by you in the preceding 12 months. We are not liable for indirect, consequential, or punitive damages.
6.3 Your Responsibilities You are responsible for maintaining appropriate security measures and insurance to protect your customer data. You agree to indemnify and hold harmless Points Africa from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (i) your breach of these Terms; (ii) your violation of any law or regulation; (iii) your violation of any third-party rights; or (iv) your use or misuse of the Platform, except to the extent caused by Points Africa’s gross negligence or willful misconduct.
- TERM AND TERMINATION
7.1 Term These Terms remain effective until terminated by either party.
7.2 Termination by Partner You may terminate these Terms by providing three (3) months’ written notice to Points Africa.
7.3 Termination by Points Africa We may terminate these Terms:
- For Convenience: With 30 days’ written notice
- For Material Breach: Immediately upon written notice if you fail to cure a material breach within 30 days of notice
- For Non-Payment: Immediately if payment is overdue by more than 15 days
- For Insolvency: Immediately if you become insolvent or file for bankruptcy
- For Violation: Immediately for any violation of prohibited activities
7.4 Effect of Termination Upon termination:
- All access to the Platform will cease immediately
- We will fulfill pending orders placed before termination
- Any remaining float balance will be returned within 10 business days
- Final network discount settlement will be processed on the next scheduled payment date
- Confidentiality obligations survive termination
- GENERAL TERMS
8.1 Governing Law These Terms are governed by the laws of South Africa.
8.2 Entire Agreement These Terms constitute the complete agreement between us, superseding all prior agreements.
8.3 Modifications We may update these Terms with 30 days’ notice. Continued use constitutes acceptance.

PAYMENT SCHEDULE
Network Discount Settlements:
- Payment Date: Minimum T+1 Business Day, or as otherwise defined during account setup
- Payment Period: Previous business day’s transactions
- Payment Amount: Your net transaction amount minus selected discount percentage
- Payment Method: Electronic transfer to designated account
- Reporting: Detailed transaction reports provided with each payment

Account Setup and Registration Includes:
- Commercial terms presentation and confirmation
- Point pricing structure based on your partnership level
- Initial network discount percentage selection (minimum 10%, as selected above during registration)
- Banking details for monthly settlements
- Float account establishment with minimum balance requirements
- Technical integration (API setup)
- Compliance verification
- Go-live approval process
Program Launch Materials provision (marketing collateral and sample launch offers)
